AGREEMENT BETWEEN THE PARTICIPANT AND ADMIE S.A. 

 

The IPTO Innovation Challenge (hereinafter the “Challenge”) is organized by the Independent Power Transmission Operator S.A. (ADMIE S.A.), addressed to legal entities and their partnerships legally operating in Greece and eligible to participate in this Challenge (hereinafter “Participants”), as well as natural persons and/or groups thereof. Participation requires the acceptance without modification of the terms and conditions contained herein (“Terms”). The submission by the Participants of the Challenge Application Form (“Submission”) constitutes their agreement to the following Terms. 

CHALLENGE DESCRIPTION 

ADMIE S.A., as the operator of the electricity transmission system, faces a series of modern challenges that require research and innovation in various fields to address them. For this reason, ADMIE S.A. has established an Innovation Hub, a structure that aims to connect and develop synergies between the Group and the Innovation and Startup Ecosystem, working towards a more accessible, sustainable, and reliable energy transmission system, with the ultimate goal of improving the lives of its people and society. 

Having conducted an internal mapping of challenges, ADMIE S.A. is organizing its first open innovation challenge for the submission of proposals that will lead to innovative pilot projects with the participation of the winners. 

 

1st THEMATIC UNIT 

Responsible Department: Transmission System Maintenance Department 

Title: Innovation in Pylon Maintenance: Development of artificial intelligence software for photo analysis to assess the condition of metallic parts of electricity transmission pylons. 

Details regarding this thematic unit can be found in the document “Guide for Participants” which has been posted on the challenge website. 

 

2nd THEMATIC UNIT  

Responsible Department: Staff Training Department 

Title: Innovation in Staff Training: Training of personnel for work in electricity substation fields using virtual reality (VR) technologies. 

Details regarding this thematic unit can be found on the “Challenges” subpage, which has been posted on the challenge website at the link: https://innovation.admie.gr/open-call/challenges/ . 

 

PROCESS 

The challenge will last at least 6 weeks, with a possibility of extension to be announced on its website. The dates for submission opening, submission closing, evaluation results announcement, and the final event are as follows:  

Submissions Open: Wednesday, May 22, 2024, 9:00 AM 

Submissions Close: Sunday, July 7, 2024, 11:59 PM | (!) Extension: Sunday, September 1, 2024, 11:59 PM

Notification of finalists: Tuesday, September 17, 2024 

Final Event: September 25-30, 2024 (Finalists will be notified via email regarding the exact date, time, and location) 

 

The challenge is divided into the following two periods: 

Submission Period 

May 22, 2024 – July 7, 2024 | Extension: May 22, 2024 – September 1, 2024 

The submission period will start on May 22, 2024, at 9:00 AM and will end on September 1, 2024, at 11:59 PM. 

Evaluation Period and Final Event 

September 2 – September 15, 2024 

During this period, teams from ADMIE S.A. and Mantis Business Innovation, acting as the Challenge Contractor, will review and score the proposals to select the finalists. The results will be announced to participants on September 17, 2024, by 3:00 PM, inviting those who will proceed to the final event. 

Final 

The final event will take place between September 25 and 30 in person at a location and times to be announced. Participants will have the opportunity to present their proposal through the submitted presentation to a committee including ADMIE representatives and answer questions posed to them.  

Each presentation will be scored to determine the final ranking and announce the winner. 

 

AWARD / COLLABORATION 

ADMIE S.A. offers the possibility of funding a functional prototype up to €20,000 (excluding VAT) per thematic unit, with the prospect of a collaboration agreement with the selected participants. 

 

ELIGIBILITY 

Participants in the challenge may include the following: 

  1. Research teams from research institutions (Institutional Research Funds Accounts)
  2. Business entities:
    • Startup companies – members of the “Elevate Greece” registry[1] 
    • Small and Medium-sized Enterprises (SMEs) according to EU Recommendation 2003/361.
  3. Consortia between research teams and businesses, or businesses only.

  4. Innovative teams: Natural persons and/or groups thereof, without necessarily having a legal form, who wish to propose solutions to the Challenge’s challenges.

More than one submission per thematic unit per entity or consortium is allowed in the Challenge. 

Participation in the Challenge is not permitted for legal entities wholly or partly owned or managed by employees of ADMIE S.A. and Mantis Business Innovation, acting as the Challenge Contractor, as well as their subsidiary companies. 

ADMIE S.A. reserves the right to exclude from the challenge any Participant who, in the reasonable opinion of ADMIE S.A., violates these requirements or any other aspect of these Terms. For this purpose, ADMIE S.A. is entitled to request from the Participant any information and documentation required to verify compliance with the Challenge Terms. Failure to provide such information or documents may result in the Participant’s immediate exclusion from this Challenge. 

Participation in this challenge constitutes, on the one hand, an unconditional declaration by each Participant that their submission meets the challenge terms and, on the other hand, full and unconditional acceptance of the challenge terms, the evaluations that will follow by the competent challenge teams or by ADMIE S.A., and the outcome of the selection process for the awarded idea. 

ADMIE S.A. shall not be liable if it fails to detect false or inaccurate statements submitted by Participants. Participants are solely responsible for their Submissions, as well as for the truthfulness, accuracy, and completeness of the information they declare. 

These Terms and Conditions may be modified at any time by ADMIE S.A. ADMIE S.A.’s decisions regarding eligibility, interpretation of the Terms, and the resolution of any claims or disputes between Participants themselves or between Participants and ADMIE S.A. related to this Challenge, will be final and binding in all respects. In case of changes, ADMIE S.A. is obliged to inform participants about such changes. 

ADMIE S.A. reserves the right to unilaterally cancel or suspend, shorten, or extend the challenge at any time at its sole discretion. 

It is also noted that if the judges/evaluators determine that none of the submissions meet the award criteria, they may decide not to proceed with a collaboration agreement. The Participant waives any right to claim any compensation or cost incurred due to the cancellation, suspension, or non-conclusion of a commercial agreement within the framework of the Challenge.  

All notifications regarding the modification of the terms of this challenge will be posted on a dedicated website section for this challenge and/or by any other appropriate means. 

 

HOW TO PARTICIPATE 

Legal entities and consortia wishing to participate in the Challenge must submit their application forms electronically through the Challenge platform, in accordance with the instructions contained therein, in the “Guide for Participants” posted on the Challenge website, and all terms set forth herein, no later than July 7, 2024. 

 

APPLICATION FORMS 

By submitting the application forms, Participants declare and warrant that their application is submitted by a legal or authorized representative who legally binds the participant and is in accordance with the terms and conditions of the Challenge. ADMIE S.A. always reserves the right to request appropriate verification documents from the Participant or to seek confirmation, through independent lawyer(s), that the Participant’s declaration is true and accurate. 

 

PROPOSALS 

Participants will be asked to submit their proposal in 2 forms: 

  • Text structured in predefined fields/questions 
  • PowerPoint presentation of the main points of the proposal.  

The proposal to be submitted by each participant will have the following structure: 

TECHNICAL PART 

MANAGERIAL AND IMPLEMENTATION PART 

POSSIBILITY OF SOLUTION INTEGRATION BY ADMIE 

Participants will have the option to upload supplementary material including diagrams, tables, etc. 

The presentation is recommended not to exceed 10 slides. 

 The submission language will be Greek. 

SUBMISSION REQUIREMENTS 

Each submission participating in the Challenge must meet the “Submission Requirements” (any submission that, at the discretion of ADMIE S.A., violates the following criteria will be disqualified). 

By participating in this challenge, each Participant declares, warrants, and undertakes as follows: 

  1. The Participant is the sole author, creator, and owner of the submission. 
  2. The Participant is entitled to participate in the Challenge in accordance with the eligibility criteria set forth in these rules and conditions. 
  3. The submission is not subject to any actual or threatened litigation or claim. 
  4. The submission does not and will not infringe upon the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party. 
  5. The submission, and the Participant’s use of the submission, does not and will not violate any applicable substantive laws and regulations in force in Greece. 
  6. Participants undertake to indemnify ADMIE S.A. for any third-party claims, lawsuits, or proceedings of any kind and from all damages, liabilities, costs, and expenses related to or arising from the Participant’s submission or from any breach or alleged breach of any of the Participant’s declarations, warranties, and undertakings hereunder. 
  7. ADMIE S.A. reserves the right to exclude any submission that it, in its sole discretion, deems to violate these requirements. 
  8. Violation of the Terms by the Participant constitutes grounds for automatic exclusion from the Challenge, effective retroactively to the time of submission, rendering the submission as if it were never made and non-existent. 
  9. ADMIE S.A. reserves the right to inform the Participant of this exclusion or to consider them implicitly excluded. 
  10. ADMIE S.A. reserves all legal rights for any damages it may incur from the Submission, and the participant is not entitled to claim any compensation for their participation and/or exclusion from the Challenge. 
  11. The proposal is considered received by ADMIE S.A. upon receipt of an electronic confirmation of successful registration via email, which will be sent to the Participant through the Challenge submission platform. 

 

SELECTION CRITERIA 

Throughout the Challenge, Submissions and proposed solutions will be judged and scored by Evaluation Committees selected by ADMIE S.A. (“Evaluation Committees”), which may include representatives of ADMIE S.A., representatives of Mantis Business Innovation, as well as other distinguished members with proven experience in the field of research and innovation in electricity transmission systems and networks.  

The Evaluation Committees will rank the Submissions in the first phase based on the following scoring distribution: a proposal’s maximum score will be 100 points, based on the evaluation criteria:

POSSIBILITY OF SOLUTION INTEGRATION BY ADMIE  

The evaluation criteria must be applied at the sole discretion of the Evaluation Committee’s judges/evaluators, taking into account the aforementioned scoring. Each Participant, by participating in the Challenge, acknowledges and agrees that this evaluation may differ from Participant to Participant, as Participants are solely responsible for the information they submit to the proposal submission system through its predefined questions, and their proposal will be evaluated solely based on this submitted information. Participants also agree to be bound by the final decisions of the judges/evaluators and not to dispute them.  

 

SELECTION OF FINALISTS 

In the final phase, up to ten best proposals (finalists) with the highest scores will be invited per thematic unit. The finalists will participate in the “Final Event Day” organized by ADMIE S.A. on July 22, 2024, subject to verification and compliance with these Terms. The finalists will be notified via the email address they have provided. 

 

SELECTION OF COLLABORATORS FOR IMPLEMENTATION 

The Evaluation Committee will analyze and score all Finalists who participated in the Final Event Day(s), selecting those who receive the highest score, which will be re-evaluated based on their presentation.

The exact results of the evaluation process will not be published. The selected participant will be notified via the email address they have provided.  

Neither the legal entities of the Finalists nor their owners/managers/directors, nor companies that have provided funding to any of the Finalists, are permitted to participate in the Evaluation Committee. 

 

AWARD / POTENTIAL COLLABORATION 

If a Participant is selected, upon request by ADMIE S.A., the Participant will first negotiate in good faith with ADMIE S.A. regarding the possibility of potential collaboration. 

To avoid any doubt, distinction in the Challenge does not automatically lead to further legally binding contractual agreements with ADMIE S.A. The detailed terms of potential future agreements between ADMIE S.A. and the selected participant (or any of the participants) will be the subject of a separate agreement and will not be linked to the Terms set forth herein. 

 

INTELLECTUAL PROPERTY 

Participants will be fully and solely responsible for undertaking, if they deem it appropriate or advisable and have not already done so, any potential registration and official protection of the rights related to their submission.  

All intellectual property rights to the idea presented in the submission, regardless of the initiative’s results, will remain the property of the Participant. By submitting to the Challenge, the Participant grants ADMIE S.A. a limited, non-exclusive, royalty-free license and right to use the submission to the extent necessary for distribution to third parties related to the Challenge, the conduct of any award ceremony, and the promotion of the Challenge, including presentation during any award ceremony, as well as for press coverage and subsequent media monitoring. 

By participating, Participants declare that they are the owners of the intellectual property rights until the announcement of the winner and the completion of the competition. ADMIE S.A. will retain the right to acquire intellectual property rights over the result of the functional prototype (Proof-of-Concept), which will derive from the distinguished solution selected by ADMIE S.A., in order to conclude a cooperation agreement for its development with the Participant. 

Participants accept that their participation in the Competition and the Competition itself, including any special award ceremony, may be communicated to the general public by any means deemed appropriate by ADMIE S.A., and hereby give their consent for such communication of either the details of the legal entity through which they will participate or personal data such as names as requested and photographs of the Participants’ representatives. 

The Participant consents, authorizes, and grants ADMIE S.A. the irrevocable and unlimited right and license to obtain, copyright, use, and publish printed, video, audio, or photographic images of the Participant’s representatives, Board members, or Administrators, as applicable, and the Participant’s statements, in whole or in part, with or without the Participant’s name, or any reproductions thereof related to the competition for ADMIE S.A.’s use. The Participant also agrees that at least one copy of the submissions and all nominations, as well as photographic, video, and audio recordings and other material from the Competition, shall remain with ADMIE S.A. for archiving purposes only.  

Participants are not permitted to use the name, logo, corporate identity, or images of ADMIE S.A. without the prior written consent of ADMIE S.A.. 

 

CONFIDENTIALITY 

All information provided by participants will be non-confidential. The management of information related to the submission will be carried out by the organizers and delivered to the members of the Evaluation Committee, who have the specific task of evaluating the proposed Ideas.  

All Participants agree to the publication of their company name, project title, and general project description for the aforementioned promotional purposes. 

All Participants acknowledge that ADMIE S.A. may currently, during the Competition, and/or in the future, internally develop or receive from other parties ideas, concepts, solutions, and information that are similar to the Participant’s submission. Consequently, no provision herein prohibits ADMIE S.A. from acquiring, developing, or having developed on its behalf independent products, concepts, systems, services, or techniques that are similar to or compete with the products, concepts, systems, or techniques envisioned or embodied in the submission. 

 

GENERAL LEGAL RESTRICTIONS 

Participants are responsible for checking the applicable laws and regulations in their jurisdiction before participating to ensure that their participation is lawful and that they have obtained all necessary internal approvals from all legally operating and competent bodies of the Participant to approve their participation in the Competition. Participants are responsible for all taxes and reports to the relevant local authorities related to the competition.  

Information of ADMIE S.A. that may be provided to participants in the context of the competition for the development of the proposed solutions is the property of ADMIE S.A. and should be considered confidential. Upon their provision, separate confidentiality agreements (NDAs) may be signed. 

 

PERSONAL DATA 

 The processing of personal data is governed by the EU and national regulatory framework for personal data protection, namely Regulation (EU) 2016/679, the relevant case law of the CJEU, Law 4624/2019, as applicable, as well as the acts (Decisions, Directives, Guidelines) of the European Data Protection Board and the Hellenic Data Protection Authority (hereinafter collectively referred to as “Existing Legislation”).  

Participants undertake that they have complied with the Existing Legislation on personal data protection. Non-compliance with the Existing Legislation entails disqualification.  

Detailed information on the processing of natural persons is provided in Annex A hereto. 

 

OTHER MATTERS 

All issues and questions regarding the formulation, validity, interpretation, and enforceability of these Terms or the rights and obligations of the Participant and/or ADMIE S.A. shall be governed by and construed in accordance with Greek law. 

The Greek courts shall have exclusive jurisdiction to resolve any dispute concerning the subject matter of these Terms, and the Participant accepts the exclusive jurisdiction of said courts in the event of any such dispute. Any claims shall be limited to actual expenses incurred, including expenses related to participation in the competition, but in no case to attorney’s fees. The Participant waives all rights (i) to claim or be awarded any compensation for direct, indirect, incidental, and consequential, material or moral, damages and any other actual or consequential damages, except for actual direct expenses.  

If any provision herein is deemed invalid, this shall not affect the validity of the remaining terms and conditions.

ANNEX A 

INFORMATION ON THE PROCESSING OF PERSONAL DATA 

The purpose of this information notice is to inform the natural person signing the offer as Bidder or Legal Representative of the Bidder (Legal Entity) (hereinafter: “Data Subject”) about the processing of their personal data by ADMIE S.A., based in Athens, Dyrrachiou 89 & Kifissou, 104 44 (hereinafter “ADMIE”) in accordance with the legislative framework for personal data protection and specifically Regulation (EU) 2016/679 of the European Parliament and of the Council (“General Data Protection Regulation”, hereinafter “GDPR”) and Law 4624/2019. 

The ADMIE A.E. collects and further processes, in its capacity as Data Controller, the personal data contained in the offer file and in the supporting documents submitted at each stage of this Competition by the Data Subject. Any personal data submitted by participants will also be transmitted to the competent Mantis personnel, who will process this data for the evaluation of each submission, for the preparation of the relevant ranking tables, and for communication with the Participants for the purposes of the Competition. 

The purpose of the processing is the evaluation of the Offer File and the supporting documents submitted prior to the conclusion of a contract, as well as for the execution of the contract, once the Contractor is selected, in accordance with Article 6 para. 1 point b of the GDPR.  

Recipients of personal data are: 

– Other participants in the Competition, within the framework of the principle of transparency and the right to pre-judicial and judicial protection of the participants in the Competition, in accordance with the law. 

Furthermore, any personal data submitted by participants will also be transmitted to the competent Mantis personnel, who will process this data for the evaluation of each submission, for the preparation of the relevant ranking tables, and for communication with the Participants for the purposes of the Competition. 

No automated decision-making, including profiling, takes place within the framework of this processing. 

Personal data will be retained for a period of five years, for future tax-fiscal or other statutory audits, unless legislation provides for a different retention period. In the event of pending litigation regarding a public contract, the data will be retained until the completion of the litigation. After the expiration of the above periods, personal data will be destroyed.  

In accordance with the GDPR, the Data Subject may exercise the rights of:
